What kind of investment is this?
A private equity investment in Nutty Made, Inc. (d/b/a JOI), structured as a Special Purpose Vehicle (SPV) through Sydecar. All participating investors come into the SPV together. The SPV invests in Nutty Made, Inc. as a single line on the cap table.
Why is there no prospectus?
A prospectus is the disclosure document for a public offering. This is a private offering under SEC Regulation D. The legal document you’ll sign is the SPV’s subscription agreement, which Sydecar provides during onboarding. The Nutty Made, Inc.'s investor deck inside the Sydecar data room is the business overview.
What am I investing in?
A SAFE with a $18 million post-money valuation cap. A SAFE is a Simple Agreement for Future Equity. It converts into priced equity at our next priced funding round.
What’s the minimum check size?
$10,000.
What’s the total round size?
$1-3 million. The SPV holds funds in escrow until close. Allocations are first-come, first-served once you complete onboarding.
What will the proceeds be used for?
Funds build a sales team and fuels a 12-month demand generation program to keep them selling, turning capital directly into growth.
Why do I have to be accredited?
SEC rules. Private offerings like this one are limited to accredited investors. The definition:

Income: $200,000+ for each of the past two years (or $300,000 joint with spouse), with the same expected this year, OR

Net worth: $1,000,000+, excluding the value of your primary residence, OR

Certain professional licenses (Series 7, 65, or 82)
Sydecar verifies your status during onboarding using a third-party service.
Why do investors have to be US citizens?
Nutty Made, Inc. participates in an SBA program that requires anyone holding an ownership position in the company to be a US citizen. It is not our rule — but it does bind this round. There are no exceptions or workarounds available to us for this offering.
When will I see a return?
This is an illiquid, long-term investment. There is no public market for Nutty Made, Inc. shares. Plan on your money being locked up for multiple years. A return would come from a future priced round, an acquisition, or a public offering down the road.
What’s the risk?
Only invest what you can afford to lose. Past performance is not a guarantee of future results, and like any investment, we cannot guarantee any kind of return.

Can I invest through my IRA or trust?
Yes. Sydecar supports IRA, trust, and LLC investments during onboarding. Talk to your tax advisor about whether that’s the right structure for you.
I’m not accredited, or I’m not a US citizen. What are my options?
For this round, none. Both rules are imposed on us — the accreditation rule by the SEC, the citizenship rule by the SBA program we participate in. There is nothing we can do to make exceptions for this offering. What we can do is keep your name for the next time we open something to a wider audience.
